Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ShopOps application and related services (the "Service"). The Service is provided by ShopOps ("we", "us", or "our"). By installing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not install or use the Service.

1. Description of the Service

ShopOps provides software tools for Shopify merchants to analyze, structure, and evaluate storefront and catalog data for operational and AI-readiness purposes. The Service provides analytical outputs, assessments, and informational insights based on data made available by the merchant. The Service does not provide legal, financial, marketing, or business advice, and does not make or execute decisions on behalf of merchants.

2. Eligibility and Account Responsibility

The Service is intended solely for Shopify merchants and their authorized representatives. By using the Service, you represent that you:

  • Are authorized to act on behalf of the Shopify store installing the app
  • Will use the Service in compliance with these Terms, Shopify's platform rules, and applicable laws
  • Are responsible for all activity conducted through your Shopify account in connection with the Service

3. Acceptable Use and Restrictions

You agree not to:

  • Use the Service for any unlawful or unauthorized purpose
  • Attempt to reverse engineer, copy, or derive the source code of the Service
  • Circumvent technical limitations or access controls
  • Use the Service to infringe the rights of others
  • Interfere with or disrupt the integrity or performance of the Service

We reserve the right to suspend or terminate access to the Service for violations of these Terms.

4. Merchant Data and Ownership

Merchants retain all right, title, and interest in the data made available through their Shopify store ("Merchant Data"). By using the Service, you grant ShopOps a limited, non-exclusive right to access, process, and analyze Merchant Data solely for the purpose of providing and improving the Service, in accordance with these Terms and our Privacy Policy. ShopOps does not claim ownership of Merchant Data.

5. AI-Generated Outputs and Disclaimers

The Service may use automated or AI-assisted processing to generate analyses, assessments, or recommendations. You acknowledge and agree that:

  • All outputs are provided for informational purposes only
  • Outputs are non-binding and do not constitute professional advice
  • You are solely responsible for any decisions or actions taken based on the outputs
  • The Service should not be relied upon as the sole basis for business, legal, or operational decisions

6. Fees and Billing

The Service may be offered free of charge, on a trial basis, or under paid plans as described at the time of use. If fees apply:

  • Fees are charged in accordance with the pricing presented to you
  • Fees are non-refundable except as required by law
  • We may modify pricing with reasonable notice

7. Suspension and Termination

You may stop using the Service at any time by uninstalling the app from your Shopify store. We may suspend or terminate your access to the Service if:

  • You violate these Terms
  • Required by law or Shopify policy
  • The Service is discontinued

Data handling upon termination or uninstallation is governed by our Privacy Policy.

8. Intellectual Property

The Service, including its software, interfaces, and documentation, is owned by ShopOps and protected by intellectual property laws. Except for the limited rights granted under these Terms, no rights or licenses are granted to you.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of accuracy, reliability, merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or completely accurate.

10. Limitation of Liability

To the maximum extent permitted by law:

  • ShopOps shall not be liable for any indirect, incidental, consequential, or special damages
  • Our total liability arising out of or relating to the Service shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the claim, or USD 100 if no fees were paid

Some jurisdictions do not allow certain limitations, so these limitations may not apply to you in full.

11. Indemnification

You agree to indemnify and hold harmless ShopOps from any claims, damages, losses, and expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of applicable laws or third-party rights

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

13. Changes to the Terms

We may update these Terms from time to time. Updated Terms will be posted with a revised "Last updated" date. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
